- You remain responsible for your account, your materials, and the decisions you make. You must have authority to provide and share customer data.
- Your customer data remains yours. We need a limited license to process it for the service, including the AI features and sharing you use.
- Readiness scores, AI outputs, and advisory guidance do not guarantee funding or replace legal, tax, accounting, or investment advice.
- Paid services are governed by the fees and engagement terms agreed separately with you.
- Questions, account-closure requests, and support requests go to lynn@raisefunding.ai.
These terms govern your use of the RaiseFunding.ai website and services. ‘We’ and ‘us’ mean RaiseFunding.ai, and ‘you’ means the person or organization using the service. The ‘Service’ includes readiness diagnostics, data rooms, investor sharing, AI assistance, and any advisory work covered by an agreed engagement.
1. Agreement to these terms
Use of the service is subject to these terms and any applicable engagement agreement.
You must be at least 18 and able to enter a binding agreement to use the service. If you act for an organization, you represent that you have authority to act on its behalf. If you do not agree to these terms, do not use the service.
Your use of personal information is described in our Privacy Policy. Acceptance of these terms is separate from any consent required for advertising or other personal-information processing.
2. Description of the service
We help you prepare for fundraising; outcomes depend on many factors outside the service.
RaiseFunding.ai helps founders assess readiness, organize fundraising materials, collaborate with their teams, share data rooms, and review investor engagement. Available features depend on your plan and any separate advisory engagement.
Readiness scores are indicators based on supplied information and the applicable rubric. AI responses and generated documents can be incomplete, inaccurate, or unsuitable for your circumstances. Review them before relying on them or sharing them with others.
The service does not promise that you will raise capital, receive an introduction, secure a valuation, or obtain an investment. Software outputs do not replace qualified legal, tax, accounting, or investment advice. Any regulated or professional advisory services require a separate, appropriately authorized engagement.
3. Account registration and security
Provide accurate details and protect access to your account and company workspace.
Provide accurate account information and keep it current. Protect your credentials, use individual accounts, and invite team members through the supported access controls rather than sharing a password.
You are responsible for activity you authorize through your account and for the permissions you assign. Notify lynn@raisefunding.ai promptly if you suspect unauthorized access. We may restrict access to investigate abuse or protect the service, subject to applicable law and any agreed contract.
4. Acceptable use
Use the service lawfully and respect other people’s information and access rights.
You must not use the service to:
- Upload information you have no right to use or disclose, infringe intellectual property, or violate privacy or confidentiality obligations.
- Misrepresent your company, its financials, ownership, investor commitments, or fundraising readiness.
- Distribute malware, conduct fraud, impersonate another person, or facilitate unlawful fundraising or securities activity.
- Bypass authentication, company permissions, link restrictions, confidentiality gates, or download controls.
- Access another company’s data, forward confidential materials without authorization, or use investor activity information to harass recipients.
- Disrupt the service, probe it without authorization, or perform bulk extraction that violates access restrictions or applicable law.
- Reverse engineer protected software except where applicable law expressly permits it, or use automated access beyond any agreed limits.
5. Customer content and data
You retain ownership; we receive the permission needed to deliver the service.
‘Customer Data’ means documents, company information, profiles, messages, and other content you or your authorized users provide. You and your licensors retain ownership of Customer Data. We do not acquire ownership merely because you upload it.
You grant us a limited, non-exclusive license to host, store, copy, transmit, display, and process Customer Data to provide the service, perform support and security work, and carry out your instructions. This includes processing through service providers and AI features, and displaying materials to recipients you authorize. The license lasts only as needed for those purposes and applicable retention or legal requirements.
You are responsible for the accuracy of your materials and for having the rights, permissions, and lawful basis needed to provide personal information about other people. Limit sensitive information to what your work requires.
Share links may be forwarded. A confidentiality acknowledgment does not guarantee that a recipient will comply or that an investment will occur. Downloaded copies may remain with recipients after you revoke a link.
6. Data ownership and portability
Download available files and contact us for other retrieval requests.
You can download documents where your access permissions and the relevant feature allow it. Contact lynn@raisefunding.ai about other data access or export requests. The current service does not promise a complete self-service export of every record in CSV or JSON.
AI-generated material prepared for you may be used by you to the extent permitted by applicable law and provider terms. We do not guarantee that AI output is unique, copyrightable, free of third-party rights, or appropriate for legal or investment use.
The Privacy Policy describes personal-information rights and retention. If an account or engagement ends, arrange retrieval of needed materials before access ends where possible.
7. Our intellectual property
Access to the platform does not transfer ownership of its software or branding.
We and our licensors retain rights in the platform software, design, brand, rubrics, and other service materials, excluding your Customer Data. Subject to these terms and your applicable plan, you receive a limited right to access and use the service for your business activities.
Do not remove rights notices, claim our trademarks as your own, or redistribute protected platform materials without permission. Rights expressly granted to you and rights protected by applicable law are preserved.
8. Payment and billing
Paid services follow the fees and payment conditions in your agreed order or engagement.
The service offers a free starting tier and may offer paid plans or advisory engagements. Specific fees, currency, taxes, billing periods, payment methods, and included services must be stated in the applicable order or engagement before you agree to pay.
For a paid engagement, the agreed order governs payment dates and any service restriction following an overdue payment, subject to required notice and applicable law. Contact lynn@raisefunding.ai about a billing dispute. Statutory cancellation and refund rights remain available where applicable.
9. Free access
Free access is subject to the disclosed feature and usage limits.
Free features are limited to the functionality made available in the service and the applicable plan description. A free tier does not include an uptime guarantee or services reserved for a paid engagement.
10. Availability and third-party services
The service can experience interruptions, and external providers have their own terms.
We may update features or interrupt access for maintenance, security, outages, or circumstances outside our reasonable control. No specific uptime, recovery time, or service-level credit is promised unless a separate agreement provides one.
Authentication, storage, email, AI processing, and advertising use third-party providers described in the Privacy Policy. External websites and tools you choose to use have their own terms and privacy practices. Provider changes or outages may affect functionality, without limiting responsibilities that applicable law places on us.
Keep independent copies of materials that are important to your business. The service is not a substitute for your own recordkeeping and backup arrangements.
11. Disclaimers and your legal rights
The service does not guarantee accuracy, uninterrupted access, or fundraising success.
The service is provided as available. Readiness scores, generated materials, and other outputs require your review, and interruptions or errors can occur.
Nothing in these terms excludes or limits rights, warranties, remedies, or liability that applicable law does not allow us to exclude or limit, including mandatory consumer protections.
12. Suspension and termination
Ending access and deleting information are separate actions.
You can ask to close your account or end an engagement by contacting lynn@raisefunding.ai, subject to any agreed paid-service term and mandatory cancellation rights. We may suspend or terminate access for a material breach, unlawful activity, a security risk, or another reason allowed by the agreement and applicable law. We will provide any notice and opportunity to address a breach required by applicable law or your engagement agreement.
Disabling access does not automatically erase Customer Data. Data retention, rights requests, and the 30-day recovery window for deleted data-room documents are described in the Privacy Policy. Contact us about retrieving materials or requesting deletion when your account or engagement ends.
Accrued payment obligations, ownership rights, and provisions that by their nature continue after termination remain applicable to the extent permitted by law.
13. Questions and disputes
Contact us about a concern without giving up your legal rights.
Contact lynn@raisefunding.ai first so we can try to resolve a concern. This does not prevent you from exercising a right or meeting a legal filing deadline.
14. Changes to the terms
We update the date above when these terms change and communicate material changes.
When these terms change, we will update their date and communicate material changes through an appropriate channel, such as email, an in-product notice, or a website notice. We will provide any advance notice required by applicable law or your engagement agreement.
Where the law or the nature of a change requires new acceptance, we will request it. If you disagree, you may stop using the service and request closure, with any remaining paid-service or cancellation rights addressed under your agreement and applicable law.
15. General provisions and contact
Separate written agreements and mandatory law can affect these terms.
These terms, any incorporated order or engagement, and any applicable data processing agreement govern the relevant service. A separately signed agreement controls where it expressly varies these terms. The Privacy Policy explains personal-information practices and does not replace a required data processing agreement.
If a provision is unenforceable, the rest remains effective where the law permits. A failure to enforce a provision does not by itself waive it.
Send support requests, legal notices, and questions to lynn@raisefunding.ai.
